Agents advisory panel

The G Adventures Agent Advisory Panel (the “Agent Panel”) is a group of people who have registered with G Adventures Inc. (“G Adventures”) to answer specific research questions relating to products, ideas, marketing materials or other areas.

The G Adventures Agent Panel Giveaways (each a “Giveaway”) are sponsored and administered by G Adventures. Any one prize cannot exceed $250, and the total value of the prizes is capped at $50,000.

These Rules apply to and are binding upon anyone registered for the Agent Panel who participates in a Giveaway ( “Participants” or “you”). By participating you agree to these Rules and the terms set out below.

Each Giveaway will be governed by the laws of Ontario, Canada and all Participants submit to the exclusive jurisdiction of the courts of Toronto, Ontario, Canada for any disputes hereunder. Any questions,concerns or complaints regarding the Agent Panel and/or the Giveaway may be directed to:

Personal Information & Privacy

By participating in the Agent Panel you grant to G Adventures the right to use the information you submit for the purposes of: i) market research and feedback on G Adventures, its brand and its products; ii) administering and managing the Agent Panel including with the assistance of third party service providers and agents; and iii) operating and administering a Giveaway, including but not limited to contacting you in the future with information regarding G Adventures and their Giveaway affiliates, and their activities.

By participating in a Giveaway, you: (i) grant to G Adventures the right to use your name, mailing address, telephone number, and e-mail address (“Personal Information”) to administer the Giveaway, including but not limited to contacting and announcing the winners and/or potential winners and awarding prizes; (ii) grant to G Adventures the right to use Personal Information for publicity and promotional purposes relating to a Giveaway, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; and (iii) acknowledge that G Adventures may disclose Personal Information to third-party service providers and agents in connection with any of the activities listed in (i) and (ii) above.

Except as otherwise set out in these Rules, Participants’ personal data is collected by G Adventures in accordance with its Privacy Policy, which can be found at gadventures.com/terms-conditions-policies/privacy/. By agreeing to participate in the Agent Panel and/or Giveaway, you agree to G Adventures’ collection and use of your information as described herein.

Agent Panel Insights & Your Privacy

To participate in the Agent Panel or Giveaway, Participants must complete a registration form with accurate and complete information.

All questions, comments, suggestions and other communications (other than personal information) you submit to G Adventures when participating in the Agent Panel or a Giveaway will be deemed to be non-confidential. You agree that G Adventures is free to use any ideas, concepts, techniques or know-how contained in any communications you provide to us for any purpose, including but not limited to development, creating and marketing products, or offering services which incorporate such information.

Who can participate in a Giveaway

You must notify and obtain consent from your employing travel agency for your participation in the Agent Panel and any Giveaway.

All Participants registered for the Agent Panel who are residents of the United States, Canada (except residents of Quebec), Australia, the United Kingdom, Germany, Ireland, New Zealand, Austria, Switzerland, Norway, or Netherlands, and who are (i) of the legal age of majority in their country of residence at the time of entry, and (ii) licensed and actively employed as travel agents (iii) and who are registered with G Adventures to sell G Adventures trips at the time the prize is awarded may submit entries to a Giveaway in compliance with these Rules. It is your responsibility to ensure that you are legally eligible to enter a Giveaway under any laws applicable to you in your jurisdiction of residence or otherwise.

Giveaway is void where prohibited by applicable laws. The following individuals may not enter a Giveaway: employees, officers and directors of G Adventures, its parents, affiliated and related companies, and their immediate families (“immediate families” is defined as parents, siblings, children and spouses, regardless of where they live), members of any households (whether or not related) of any such parties, and members of any households (whether or not related) of any excluded individuals.

How to participate in Giveaway

In order to participate in a Giveaway you must be actively registered with the Agent Panel at the time of entry.

G Adventures may send Agent Panel members an email invitation to complete an opinion survey up to two (2) times per quarter. Agent Panel members who click through the link provided in the email invitation and complete the survey accurately within the timeframe specified in the email will receive one (1) entry into the applicable Giveaway Period (each, a “Submission”). Limit of one entry per completed survey per Giveaway Period. In the case of multiple entries where the same Participant has completed the same survey multiple times, only the first eligible survey completed will be considered a valid entry. Entries submitted or partially submitted by any other means will not be valid.

A Giveaway is free to enter. No purchase is necessary for participation. A purchase or payment of any kind to G Adventures, any Giveaway partners or their respective subsidiaries or affiliates will not impact any Participant’s chances of success at any stage of the Giveaway. Internet access and a valid e-mail address are required for participation.

Each Giveaway starts at 12:01AM ET on the Open Date set out below and closes at 11:59 PM ET on Close Date (the “Giveaway Period”). All times are Eastern Time (“ET”). Entries must be received during the Giveaway Period. Time keeping for a Giveaway shall be determined solely by G Adventures server clock. Any discrepancy between the time or time remaining in the Giveaway Period as stated on the website or in any promotional materials thereof and the time or time remaining as determined by G Adventures server clock shall prevail.

The winners of each Prize (as defined below) will be selected in a random drawing performed an independent online random name selector on or about the Draw Date specified above for the applicable Giveaway Period from among all eligible entries received by G Adventures which remain eligible at the time of the draw (each, a “Winner”). Odds of winning depend upon the total number of eligible entries received for each Giveaway.

Winners will be notified within thirty (30) days of the applicable Draw Date. In the event of a dispute, Submissions will be deemed to have been made by the Authorized Account Holder of the email address submitted at the time of entry. "Authorized Account Holder" means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Any Participant may be required to show proof of being the authorized account holder to G Adventures’ satisfaction.

Winners will be required to sign and return, within seven (7) days of notification, an Affidavit of Eligibility, a Release and Declaration, and a Publicity Release (collectively, "the Releases") and will be required to answer a skill testing question, except for residents of the United Kingdom. These Releases may require the Winner to furnish his/her information for the purpose of tax reporting, as may be required by law. Noncompliance may result in disqualification and an alternate winner may be selected. If a prize notification or Prize is returned as undeliverable, it will result in disqualification, and the Prize will be awarded to an alternate winner in a separate random drawing.

Winners may be required to confirm the following: (i) their eligibility for the Giveaway and compliance with these Rules; (ii) acceptance of the Prize as offered; (iii) release of G Adventures and any Giveaway partners and their respective parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, sponsor, administrators, licensees, representatives, advertising, media buying and promotional agencies (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in a Giveaway, participation in any Giveaway related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) grant to G Adventures of permission to use the Winner’s name, prize won, and country of residence, for purposes of advertising, promotion and publicity related to the Contest and the Grand Prize, without additional compensation, notification or permission. The executed Release must be returned within the date indicated on the accompanying letter of notification or the selected entrant will be disqualified and the Prize forfeited to another entrant as indicated above.

Noncompliance may result in disqualification and an alternate winner may be selected.

If a prize notification or prize is returned as undeliverable, it will result in disqualification, and the prize will be awarded to an alternate winner in a separate random drawing.

If for any reason a Giveaway is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of G Adventures which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Giveaway, G Adventures reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend a Giveaway, at which time, G Adventures will conduct a random drawing from among all eligible entries received at the time of a Giveaway termination. G Adventures assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. G Adventures is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by G Adventures due to technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in a Giveaway or downloading any materials in a Giveaway. G Adventures is not responsible for incompatibility of entrant’s hardware, software or browser technology.

All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by G Adventures and/or their affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.

Giveaway Prizes

The giveaway prize(s) (each, a “Prize”) and their approximate retail value will be specified in the Agent Panel survey invitation email. Prizes can include gift cards (“Gift Cards”) or G Adventures merchandise (“Swag”).

G Adventures ‘Swag’ Prizes

If a Prize is Swag, the winner(s) must provide complete and accurate mailing information to G Adventures to receive the prize.

Gift Card Prizes

If a Prize is a Gift Card, winner(s) shall be entitled to a gift card in the amount, currency, and for the retailer stated in the promotional email for the applicable Giveaway, subject to the terms of the voucher as set out in the survey invitation email.

Odds of winning depend upon the total number of eligible entries received for each Giveaway.

No substitution, cash redemption or transfer of the right to receive a Gift Card is permitted, except in the discretion of G Adventures, which reserves the right to substitute a prize of equal or greater value. Use of any Gift Card is subject to the terms and conditions specified by the retailer of the Gift Card. Prizes are awarded “as is” with no warranty or guarantee either expressed or implied by G Adventures. The winner is responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of prize not specified herein as being awarded.

By entering a Giveaway, the Participant releases and holds Releasees harmless from any and all liability for any injuries, loss or damage of any kind to the entrant or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in a Giveaway, any breach of the Rules, or in any Giveaway related activity. The entrant agrees to fully indemnify Releasees from any and all claims by third parties relating to the Giveaway, without limitation.

General Giveaway Terms

G Adventures reserves the right, in its sole discretion, to terminate a Giveaway, in whole or in part, to modify, amend or suspend a Giveaway, and to amend these Rules in any way, at any time, for any reason without prior notice.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Giveaway related materials, including but not limited to the Giveaway entry form, or print or online advertising, the terms and conditions of these Rules shall prevail.

Limitation of Liability

Under no circumstances shall G Adventures, its subsidiaries or affiliates be liable for any direct, indirect, incidental, special, consequential, exemplary or other damages whatsoever, including, without limitation, any direct, indirect, incidental, special, consequential, exemplary or other damages whatsoever arising from or relating to the giveaway, the prizes, entry submission, or any files or data that may be harmful to computer or communication equipment or data that may have been transmitted to or through the giveaway platform. The foregoing limitations shall apply to the fullest extent permitted by law.
